什么是银行保函(LeTTer of Guarantee, L/G)

根据申请人的要求向受益人开出的担保申请人正常履行合同义务的书面证明。它是银行有条件承担一定经济责任的契约文件。当申请人未能履行其所承诺的义务时，银行负有向受益人赔偿经济损失的责任。由于银行信用代替或补充商业信用，保函的信用性更好，灵活性更强，因此被广泛地应用于国际结算的众多领域中，诸如贸易支付、工程承包、租金支付、资金借贷等等。

银行保函包括：履约保函、投标保函、预付款保函、维修保函等。

常见的履约保函是：应申请人的请求，向受益人所作出的一种履约保证承诺。若履约责任人日后未按照合约办事，银行将向受益人支付一笔不超过担保金额的货款。该款项通常相当于总合同金额的5%–10%。

简单来说银行保函就是A和B签合同，A要求B开个保函，如果B出现了保函上约定的事项(比如不履行合同、不交货、不给钱或者给的货物造的东西有问题还不修)，那么A可以直接拿着保函去开保函的银行要钱。 在国际贸易里，保函还可以用于证明提货人的身份，让提货人在收到提单正本之前就能提货。

银行保函的作用

保函作为第三者的信用凭证，其出具的目的是为了使受益者能够得到一种保证，以消除他对申请人是否具有履行某种合同义务的能力或决心的怀疑，从而促使交易顺利进行，保证货款和货物的正常交换，这是保函的基本功能之一。除此之外，保函还通常用来保证合约的正常履行、预付款项的归还、贷款及利息的偿还、合同标的物的质量完好被扣财务的保释等等。

保函从其本质上来说具有两大基本作用：

1、保证合同价款的支付;

2、发生合同违约时，对受害方进行补偿并对违约责任人进行惩罚。

银行保函的当事人有哪些

1、申请人(Applicant)或称委托人(PrinCIPal)

银行保函的基本内容

1、保函当事人(受益人、申请人、担保行、通知行或转开行)的完整名称和详细地址。

2、保函的性质。即保函的种类。

3、合同的主要内容。

4、保函的编号和开立日期。

5、保函金额。

6、保函的有效期限和终止到期日。

7、当事人的权利和义务。

8、索偿条件。

银行保函的开立，主要规定有

1、保函应以书面形式开立

2、保函应该规定的主要事项包括：主债务人(即保函申请人)、受益人、保证人、开立保函所依据的基础交易、最高保证金额和付款所用货币的币种、保函失效日期或决定保函失效的具体事件、要求付款的条件以及保函金额递减条款。

3、保函一经开立，除非另有规定，否则即为不可撤销的文件。

4、保证人是否开立保函应由其自由决定，但是，当保证人收到开立保函的委托后，认为如按该委托开立保函，保证人将会受到保函开立国有关法律或法规的制约，从而将不能履行保函的责任时，保证人可以拒绝为申请人开立保函，但他应该立即以电讯方式通知委托人。

银行保函的种类

根据保函在基础合同中所起的不同作用和担保人承担的不同的担保职责，保函可以具体分为以下几种：

借款保函指银行应借款人要求向贷款行所作出的一种旨在保证借款人按照借款合约的规定按期向贷款方归还所借款项本息的付款保证承诺。

融资租赁保函指承租人根据租赁协议的规定，请求银行向出租人所出具的一种旨在保证承租人按期向出租人支付租金的付款保证承诺。

补偿贸易保函指在补偿贸易合同项下，银行应设备或技术的引进方申请，向设备或技术的提供方所作出的一种旨在保证引进方在引进后的一定时期内，以其所生产的产成品或以产成品外销所得款项，来抵偿所引进之设备和技术的价款及利息的保证承诺。

投标保函指银行应投标人申请向招标人作出的保证承诺，保证在投标人报价的有效期内投标人将遵守其诺言，不撤标、不改标，不更改原报价条件，并且在其一旦中标后，将按照招标文件的规定在一定时间内与招标人签订合同。

履约保函指银行应供货方或劳务承包方的请求而向买方或业主方作出的一种履约保证承诺。

预付款保函又称还款保函或定金保函。指银行应供货方或劳务承包方申请向买方或业主方保证，如申请人未能履约或未能全部按合同规定使用预付款时，则银行负责返还保函规定金额的预付款。

付款保函指银行应买方或业主申请，向卖方或承包方所出具的一种旨在保证贷款支付或承包工程进度款支付的付款保证承诺。

其他的保函品种还有来料或来件加工保函、质量保函、预留金保函、延期付款保函、票据或费用保付保函、提货担保、保释金保函及海关免税保函等等。

办理银行保函有以下步骤

1、向银行提出申请，填写担保业务申请书。

2、按银行提出的条件和要求提供下列资料：(1)项目方的营业执照副本、法人代码证副本、税务登记证副本和法定代表人证明文件等;(2)对外担保主合同、协议或标书及有关交易背景资料;(3)担保涉及的事项按规定须事先获得有关部门批准或核准的，须提供有关部门的批 准或核准文件;(4)项目方经会计(审计)师事务所审计的上两年财务报表及当期财务报表;(5)反担保措施证明文件;(6)银行要求的其它资料。

3、等银行经办人员报送业务审批完后(一般3-7个工作日)，银行对申请人的合法性、财务状况的真实性、交易背景的真实性等进行调查，了解借款人的履约、偿付能力，向申请人做出正式答复。

4、办理成功，银行同意开立保函后，与申请人签订“开立担保协议”，约定担保种类、用途、金额、费率、担保有效期，付款条件，双方的权利、义务，违约责任和双方认为需要约定的其它事项;对于需提供反担保的，还应按银行要求办理反担保手续。

银行保函的目的

保函不同于保险，它的最终目的不是“索赔”，而是为了“不索赔”，是为了防止合同双方不按合同规定的义务和责任履约的一种保证手段。

保函手续费

保函手续费就是银行给开保函的时候收的钱。费率各家银行一般不太一样，跟保函的时间长度也有关系。

银行保函与信用证的区别

银行保函与信用证的区别在于二者的付款责任不同——前者的开立银行对受益人的付款责任属于第二责任人，而后者的开立银行对受益人的付款属于第一责任人——这一点可以从二者的定义可知：银行保函是开立银行担保申请人能够履行某项义务，如果申请人没有履行该义务，此时开立银行才根据受益人的索偿而对受益人付款，换句话说就是开立银行在申请人未履性其担保的责任时，在受益人索偿时才对受益人付款。而信用证则是开证行对受益人有条件的付款承诺，换句话说就是只要受益人按照信用证的规定行事，提交符合信用证规定的单据，那么，开证行就必须对受益人付款，而与开证申请人和信用证对应的实际货物等实际标的无关。

(2)本保函项下的付款将不减去任何现在的或将来的税款、费用扣留等。

b) Any payment hereunder shall be made free and clear of and without deduction for or on account of any present or future taxes, duties, charges, fees, deductions or withholding of any nature whatsoever imposed.

(3)本保函内所含的各项约定构成了担保银行不可撤消的直接责任。上述合同中的任何条款变更，你方所允许的时限或作出的任何行为或发生的疏漏，尽管可能免责或解脱银行，都不能解除银行的此项责任。

c) The covenants contained herein constitute irrevocable direct OBLigations of the Bank. No alteration in the terms of the contract to be performed there under and no allowance of time by you or any other act or omission by you which for this provision might exonerate or discharge the Bank shall in any way release the Bank from any liability hereunder.

我们(担保人名称)应合同方的要求，特此开立本保函并向你方不可撤消地保证，在收到你方书面索赔通知声明合同方未能履行上述合同有关条款时，支付给你方不超过担保金额的款项。

NOW THEREFORE，we(name of guarantor)at the request of the Contractor hereby irrevocably issue this Advance Payment Guarantee and undertake to pay you, upon receipt of your written demand stating that the Contractor has failed to perform his obligations as stipulated in the Contract, the sum or sums not exceeding the above-mentioned amount.

我们在本保函项下的担保责任仅限于(保函金额)。

Our liability hereunder shall be limited to (the amount of guarantee).

本保函从合同方收到你方支付的上述预付款之日起生效，到(保函失效日)失效。 我们的担保责任将随合同方已经支付给你方的金额而自动同比递减。 保函到期后，请退回我们注销。

This guarantee shall become effective on the date the Contractor receives the aforesaid advance payment from you and shall remain valid until (the expiry date of this guarantee). The guaranteed amount shall be automatically and proportionally reduced by the amount which the Contractor has already repaid to you. Upon its expiry, please return this guarantee to us for cancellation.
